Non-Disclosure Agreement

This Non-disclosure Agreement (this "Agreement") is made effective as of {{DATE_TIME}} (the "Effective Date"), by and between PATHFINDER SOLUTIONS LLC (the "Owner"), of Meridian MS. 39301 , and {{first_name}} {{last_name}} (the "Recipient"), of {{street_address}} {{city}} {{state}} {{zip_code}}.

The Owner has requested and the Recipient agrees that the Recipient will protect the confidential material and information which may be disclosed between the Owner and the Recipient.
Therefore, the parties agree as follows:

I. CONFIDENTIAL INFORMATION. The term "Confidential Information" means any information or material which is proprietary to the Owner, whether or not owned or developed by the Owner, which is not generally known other than by the Owner, and which the Recipient may obtain through any direct or indirect contact with the Owner. Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by the Owner concerning the business, technology and information of the Owner and any third party with which the Owner deals, including, without limitation, business records and plans, trade secrets, technical data, product ideas, contracts, financial information, pricing structure, discounts, computer programs and listings, source code and/or object code, copyrights and intellectual property, inventions, sales leads, strategic alliances, partners, and customer and client lists. The nature of the information and the manner of disclosure are such that a reasonable person would understand it to be confidential.

A. "Confidential Information" does not include:

- matters of public knowledge that result from disclosure by the Owner;

- information rightfully received by the Recipient from a third party without a duty of confidentiality;

- information independently developed by the Recipient;

- information disclosed by operation of law;

- information disclosed by the Recipient with the prior written consent of the Owner; and any other information that both parties agree in writing is not confidential.

II. PROTECTION OF CONFIDENTIAL INFORMATION. The Recipient understands and acknowledges that the Confidential Information has been developed or obtained by the Owner by the investment of significant time, effort and expense, and that the Confidential Information is a valuable, special and unique asset of the Owner which provides the Owner with a significant competitive advantage, and needs to be protected from improper disclosure. In consideration for the receipt by the Recipient of the Confidential Information, the Recipient agrees as follows:

A. No Disclosure. The Recipient will hold the Confidential Information in confidence and will not disclose the Confidential Information to any person or entity without the prior written consent of the Owner.

B. No Copying/Modifying. The Recipient will not copy or modify any Confidential Information without the prior written consent of the Owner.

C. Unauthorized Use. The Recipient shall promptly advise the Owner if the Recipient becomes aware of any possible unauthorized disclosure or use of the Confidential Information.

D. Application to Employees. The Recipient shall not disclose any Confidential Information to any employees of the Recipient, except those employees who are required to have the Confidential Information in order to perform their job duties in connection with the limited purposes of this Agreement. Each permitted employee to whom Confidential Information is disclosed shall sign a non-disclosure agreement substantially the same as this Agreement at the request of the Owner.

III. UNAUTHORIZED DISCLOSURE OF INFORMATION - INJUNCTION. If it appears that the Recipient has disclosed (or has threatened to disclose) Confidential Information in violation of this Agreement, the Owner shall be entitled to an injunction to restrain the Recipient from disclosing the Confidential Information in whole or in part. The Owner shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.

IV. NON-CIRCUMVENTION. For a period of five (5) years after the end of the term of this Agreement, the Recipient will not attempt to do business with, or otherwise solicit any business contacts found or otherwise referred by Owner to Recipient for the purpose of circumventing, the result of which shall be to prevent the Owner from realizing or recognizing a profit, fees, or otherwise, without the specific written approval of the Owner. If such circumvention shall occur the Owner shall be entitled to any commissions due pursuant to this Agreement or relating to such transaction.

V. RETURN OF CONFIDENTIAL INFORMATION. Upon the written request of the Owner, the Recipient shall return to the Owner all written materials containing the Confidential Information. The Recipient shall also deliver to the Owner written statements signed by the
Recipient certifying that all materials have been returned within five (5) days of receipt of the request.

VI. RELATIONSHIP OF PARTIES. Neither party has an obligation under this Agreement to purchase any service or item from the other party, or commercially offer any products using or incorporating the Confidential Information. This Agreement does not create any agency, partnership, or joint venture.

VII. NO WARRANTY. The Recipient acknowledges and agrees that the Confidential Information is provided on an "AS IS" basis. THE OWNER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CONFIDENTIAL INFORMATION AND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL THE OWNER BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR ARISING OUT OF THE PERFORMANCE OR USE OF ANY PORTION OF THE CONFIDENTIAL INFORMATION. The Owner does not represent or warrant that any product or business plans disclosed to the Recipient will be marketed or carried out as disclosed, or at all. Any actions taken by the Recipient in response to the disclosure of the Confidential Information shall be solely at the risk of the Recipient.

VIII. LIMITED LICENSE TO USE. The Recipient shall not acquire any intellectual property rights under this Agreement except the limited right to use as set forth above. The Recipient acknowledges that, as between the Owner and the Recipient, the Confidential Information and all related copyrights and other intellectual property rights, are (and at all times will be) the property of the Owner, even if suggestions, comments, and/or ideas made by the Recipient are incorporated into the Confidential Information or related materials during the period of this Agreement.

IX. INDEMNITY. Each party agrees to defend, indemnify, and hold harmless the other party and its officers, directors, agents, affiliates, distributors, representatives, and employees from any and all third party claims, demands, liabilities, costs and expenses, including reasonable attorneys fees, costs and expenses resulting from the indemnifying partys material breach of any duty, representation, or warranty under this Agreement.

X. ATTORNEYS FEES. In any legal action between the parties concerning this Agreement, the prevailing party shall be entitled to recover reasonable attorneys fees and costs.

XI. TERM. The obligations of this Agreement shall survive The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Partys duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement, whichever occurs first. from the Effective Date or until the Owner sends the Recipient written notice releasing the Recipient from this Agreement. After that, the Recipient must continue to protect the Confidential Information that was received during the term of this Agreement from unauthorized use or disclosure indefinitely.

XII. GENERAL PROVISIONS. This Agreement sets forth the entire understanding of the parties regarding confidentiality. Any amendments must be in writing and signed by both parties. This Agreement shall be construed under the laws of the State of Indiana. This Agreement shall not be assignable by either party. Neither party may delegate its duties under this Agreement without the prior written consent of the other party. The confidentiality provisions of this Agreement shall remain in full force and effect at all times in accordance with the term of this Agreement. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining portions of this Agreement shall remain in full force and effect and construed so as to best effectuate the original intent and purpose of this Agreement.

XIII. SIGNATORIES. This Agreement shall be executed by Nate Eggleston, Owner, on behalf of PATHFINDER SOLUTIONS LLC and {{first_name}} {{last_name}} and delivered in the manner prescribed by law as of the date first written above.

Subcontractor Agreement

This Subcontractor Agreement is executed on August 31, 2021 by and between Pathfinder Solutions LLC, an Mississippi Limited Liability Company (hereinafter referred to as “Principal”), and {{first_name}} {{last_name}}, (hereinafter referred to as “Agent”).

Principal is in the business of providing security services to its customers. Principal performs services for its customers in which confidentiality and discretion are extremely important.

Agent is an entity described in the first paragraph of this Agreement which provides services on a contract basis to its clients including the services of the type performed by Principal for its Customers.

The purpose of this Agreement is for Principal to engage the services of Agent, through such individuals and employees as Agent shall engage, on a fee basis.

Principal desires to employ Agent as its subcontractor to provide services to certain Customers as an independent contractor.

Agent desires to accept such assignment from Principal to perform the services involved.

NOW THEREFORE, in consideration of mutual terms, covenants and conditions herein, the parties agree as follows:

Per Diem will be paid weekly. In addition to such base compensation as set forth above, Principal will reimburse Agent for documented out of pocket expenses reasonably incurred by Agent in connection with providing the services hereunder. Provided however, such expenses shall be pre-approved by Principal.

3. TERMINATION: Either party may terminate this Agreement and the services required herein on ten days advance notice to the other. In no event shall Principal have obligations to make payment to Agent beyond the date of termination of this Agreement.

4. SCOPE OF WORK:

Agent agrees to serve as consultant to Principal and indirectly to its Customers. The services to be performed by Agent are listed on Schedule A and shall include such additional assignments and tasks as from time to time may be mutually agreed upon by the parties. Agent agrees to promptly perform such services under the term of this Agreement.

Agent shall furnish all labor and shall supervise and perform all work as described on Schedule A. In addition, Agent shall perform consulting and physical security services to Customers of Principal.

Agent agrees to faithfully, diligently and competently, and to the best of its ability, experience and talent perform the consulting services required under this Agreement. The Agent represents and warrants to the Principal that it is experienced and well qualified to provide such services. Agent represents to Principal that Agent is not subject to any agreement or arrangement the terms of which will be violated by entering into and performing the services hereunder.

5. INDEPENDENT CONTRACTOR STATUS: Agent’s status and relation to Principal shall be that of an independent contractor and not that of an employee. Agent agrees that it is solely responsible for payment of all income taxes, self-employment taxes, social security taxes, unemployment compensation taxes and any other taxes or other payments of Agent’s employees in connection with Agent’s performance of this Agreement. In addition, Agent shall timely file all returns and reports required to be filed relating to such tax liability. Neither Agent nor any of its employees shall be eligible for or entitled to any benefits under any retirement, pension, insurance, medical or other plans which may be in effect or adopted by Principal.

6. WITHHOLDING AND TAX MATTERS: Agent hereby acknowledges that it hires individuals and employees of individuals to provide the services provided by Agent to Principal under this Agreement. The parties acknowledge that this Agent is an independent contractor and that Principal is not directly hiring employees of Agent in such capacity.

7. INDEMNITY: Agent agrees to indemnify Principal for any liabilities, loss, claims or demands (including all costs, expenses and attorney’s fees) that may be made or result from any injuries to persons or damage to property resulting from Agent’s acts or omissions.

8. CONFIDENTIAL INFORMATION: Agent acknowledges to Principal that Customers and information concerning such Customers of Principal are extremely confidential and this information shall not be subject to disclosure for any reason whatsoever by Agent. Agent shall not advertise, publish, or make available on the internet or otherwise market or otherwise make known to others any information relating to the services performed by this Agreement, including information concerning the Customers. Agent agrees to indemnify Principal as described in Section 8 for any breach by Agent for any violation of this consent of confidentiality.

9. RECORDS: Agent agrees that upon expiration or termination of this Agreement, Agent will promptly deliver to the Principal all documents, papers, materials and other property of Principal and its Customers. Agent agrees that it will never produce, sell, distribute, publish or otherwise distribute any information relating to this Agreement, Customers or the performance of the services in this connection. Agent acknowledges the strict need for confidentiality by Principal or Agent.

10. COVENANT NOT TO COMPETE:

Agent agrees that it will not accept employment or interfere with or accept referrals from any Customers of Principal during the term of this Agreement and for three years thereafter. Customers shall include all Customers of Principal on the date of execution of this Agreement continuing through three months after the termination of this Agreement. Agent agrees that this covenant not to compete shall apply to any services of Agent.

Agent has agreed to the obligations of confidentiality, non-competition and non- solicitation which shall survive the execution and termination of this Agreement. In addition, Agent shall not in any time, whether orally or in writing, disparage Principal or any of its directors, officers, employees or Customers or otherwise.

While the restrictions in this section are considered by the parties to be reasonable in all circumstances, it is recognized that restrictions of this nature may fail for unforeseen reasons. Accordingly, it is agreed and declared that if any such restriction shall be determined by a court of competent jurisdiction to be void as going beyond what is reasonable, the parties nevertheless intend for such invalid portion to be deleted, or the period reduced, or the range of activities thereby reduced in scope, and all of such other provisions shall continue to apply.

The parties acknowledge that this Agreement would not be executed with Agent except for the restrictions on competition and non-solicitation.

Agent acknowledges that any breach of the obligations imposed by this section would cause Principal irrevocable and continuing harm for which money damages would not provide adequate relief. Accordingly, Principal shall be entitled to receive and Agent hereby consents to the issuance of an injunction, both preliminary and permanent, enjoining or restraining such breach or threatened breach and in the recovery by Principal of all reasonable sums and costs, including reasonable attorney’s fees as a result of enforcing such a provision.

11. LAW: Mississippi law shall apply to this Agreement.

12. PRIOR AGREEMENTS SUPERSEDED: This Agreement supersedes any prior understandings or agreements among the parties. All recitals and representations which have been incident to making this Agreement are set forth in this Agreement. This Agreement constitutes the entire agreement between the parties with respect to this subject matter.

13. ADDITIONAL DOCUMENTS: Each party agrees to execute any additional documents necessary to effectuate the provisions contemplated in this Agreement.

14. SUCCESSORS AND ASSIGNS: This Agreement shall be binding upon and shall inure to the benefit of each party hereto and its agents, employees, subcontractors, successors and assigns. This Agreement may not be assigned or transferred by Agent to any party or parties or to any
entity or entities.

15. AMENDMENTS: The terms and conditions of this Agreement shall not be amended or modified, except for written modifications executed by the parties.

16. COUNTERPART EXECUTION: This Agreement may be executed in multiple counterparts, each of which shall be deemed an original for all purposes.
